1. Introduction and Acceptance
1.1 Welcome to GraciasGracias
GraciasGracias ("we," "us," "our," or "Platform") operates an online community platform and event ticketing marketplace accessible at graciasgracias.live and related domains. The Platform serves international residents, expatriates, digital nomads, and visitors in Mexico, providing community discussion forums, event discovery, ticketing services, marketplace listings, rental listings, and related features.
1.2 Binding Agreement
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and GraciasGracias. By accessing or using the Platform, creating an account, purchasing tickets, listing events, or otherwise engaging with our services, you agree to be bound by these Terms.
If you do not agree to these Terms, you must not use the Platform.
1.3 Eligibility
To use the Platform, you must:
- Be at least 18 years of age, or the age of majority in your jurisdiction of residence, whichever is greater
- Have the legal capacity to enter into binding contracts
- Not be prohibited from using the Platform under applicable laws
- Provide accurate, current, and complete information during registration
The Platform is not intended for users under 18 years of age. We do not knowingly collect personal information from minors.
1.4 Changes to These Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via:
- Email notification to the address associated with your account
- Prominent notice on the Platform
- Updated "Last Updated" date at the top of this document
Continued use of the Platform after material changes constitutes acceptance of the modified Terms. If you do not agree to modified Terms, you must discontinue use of the Platform and may close your account.
2. Account Registration and Security
2.1 Account Creation
To access certain Platform features, you must create an account. You agree to:
- Provide accurate, current, and complete registration information
- Maintain and update your information as needed
- Maintain the confidentiality of your account credentials
- Notify us immediately of any unauthorized access or security breach
- Accept full responsibility for all activities occurring under your account
2.2 Username Immutability
Once selected, your username cannot be changed by you. Usernames are used throughout the Platform for URL paths, content attribution, audit trails, and user mentions. This immutability is enforced at the database level via security triggers to maintain platform integrity. Exceptions may be granted at our sole discretion in cases of impersonation, harassment, or other policy violations.
2.3 Account Types
The Platform supports the following account types:
(a) Standard User Accounts — General users who browse content, attend events, participate in discussions, and use marketplace/rental features.
(b) Organizer Accounts (Full Tier) — Users who have completed organizer onboarding, including Stripe Connect identity verification, who may create paid events, manage ticket sales, and receive payouts.
(c) Light Tier Organizers — Events imported via URL import or phone-reservation flows associated with organizers who do not have GraciasGracias accounts. These organizers are not parties to these Terms but are subject to separate cross-listing arrangements.
(d) Administrative Accounts — Internal Platform staff with elevated permissions for moderation, support, and operations.
2.4 Authentication
We use multiple authentication methods including email/password and social authentication (Google). By using social authentication, you authorize us to access and store certain profile information from the authentication provider in accordance with our Privacy Policy.
2.5 Account Termination
You may close your account at any time through account settings or by contacting support. We may suspend or terminate your account at our sole discretion for violations of these Terms, applicable laws, or platform policies. Upon termination:
- Your access to Platform features will cease
- Content you posted may remain visible (subject to deletion requests under applicable law)
- Pending financial obligations (ticket purchases, payouts) will be honored to the extent legally required
- Refund eligibility follows Section 7 (Refund Policy)
3. Platform Services and Features
3.1 Community Board
The Platform hosts community discussion forums organized by geographic regions and topical categories. Users may post text, images, polls, and other content. Community board content is subject to the Content Guidelines (Section 4) and content moderation policies.
3.2 Event Discovery and Ticketing
The Platform aggregates and displays events from:
- Native events — Events created by GraciasGracias organizers with full ticketing infrastructure
- External events — Events imported from third-party sources (Ticketmaster and other partners)
- URL-imported events — Events imported by admins or tokenized organizers via URL parsing
- Phone-reservation events — Events with no web presence, with direct contact methods
Event listings are provided for informational purposes. We do not guarantee event quality, organizer reliability, or that events will occur as described.
3.3 Friends Only Meetups and Social Calls
The Platform supports user-organized meetups associated with events, including "Friends Only Meetups" with privacy restrictions. By using these features:
- You acknowledge that meetup visibility settings are creator-anchored, not transitively granted through friendships
- You agree to respect privacy boundaries set by meetup organizers
- You accept that you participate in meetups at your own risk
- We do not vet meetup participants or guarantee their identity or character
3.4 Marketplace and Rentals
The Platform provides classified listings for goods (Marketplace) and short-term housing/rentals (Rentals). Important limitations:
- We are not a party to transactions between users
- We do not verify listing accuracy, item condition, or seller/landlord identity
- We do not facilitate payment for marketplace or rental transactions
- We do not provide escrow services
- All transactions occur directly between users at their own risk
- Mexican-specific rental terms (Fiador, Póliza Jurídica) are user-provided and not verified by us
3.5 Required Approval Events
Some events require organizer approval before ticket issuance. If you submit an approval request:
- The organizer has sole discretion to approve or reject your request
- We do not adjudicate approval decisions
- Rejection does not constitute discrimination unless prohibited by applicable law
- Custom questions and responses are visible to the event organizer
3.6 Two-Product Marketplace Architecture
The Platform operates as two distinct but integrated products: (a) a community discussion platform and (b) an event ticketing marketplace. Different terms may apply to different features as specified throughout these Terms.
4. User Content and Conduct
4.1 Content Ownership
You retain ownership of content you submit to the Platform ("User Content"). By submitting User Content, you grant GraciasGracias a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, perform, and display such content on and through the Platform, in connection with Platform operations, marketing, and improvement.
This license survives termination of your account for content that has been shared with other users or that remains technically necessary to preserve.
4.2 Content Guidelines
You agree not to post, transmit, or facilitate User Content that:
- Violates any applicable law or regulation (Mexican, international, or local)
- Infringes intellectual property rights of others
- Contains hate speech, harassment, threats, or discriminatory content based on race, ethnicity, religion, gender, sexual orientation, disability, or other protected characteristics
- Constitutes child sexual abuse material or sexualizes minors in any way
- Promotes violence, terrorism, or illegal activities
- Contains pornographic, sexually explicit, or obscene material
- Promotes self-harm, suicide, or eating disorders
- Constitutes spam, scams, fraud, or deceptive practices
- Impersonates another person or entity
- Discloses private information of others without consent (doxxing)
- Solicits commercial activity outside Platform-sanctioned channels
- Contains malware, viruses, or harmful code
- Manipulates Platform features (vote manipulation, fake accounts, etc.)
- Violates anyone's privacy or publicity rights
- Disrupts Platform functionality or other users' experience
4.3 Content Moderation
We employ automated and human content moderation. We use AI-based moderation services (including but not limited to OpenAI's moderation API and Anthropic's Claude) to detect policy violations. We may, at our sole discretion:
- Remove or modify User Content
- Suspend or terminate accounts
- Refer matters to law enforcement
- Cooperate with legal investigations
We are not obligated to monitor User Content but reserve the right to do so. No content moderation system is perfect; we make no warranty regarding moderation accuracy.
4.4 Reporting and Flagging
Users may report content believed to violate these Terms. We will review reports in good faith but do not guarantee specific outcomes or response times. Abuse of the reporting system (false reports, retaliation) may result in account action.
4.5 Friends and Blocking
The Platform supports friend connections and user blocking. Friend connections enable certain features (Friends Only Meetups). Blocking is platform-level and applies across all features. We may not, however, intervene in personal disputes between users.
4.6 User Conduct Outside Platform
We are not responsible for user conduct outside the Platform, including at in-person events organized through the Platform. You attend events at your own risk and are responsible for your own safety. We strongly recommend:
- Meeting in public places for first interactions
- Verifying event details independently when possible
- Reporting safety concerns to appropriate authorities
- Following standard personal safety practices
5. Event Organizer Terms
5.1 Organizer Responsibilities
If you create and host events through the Platform as a full-tier organizer, you represent and warrant that you:
- Have legal authority to host the event
- Possess all necessary permits, licenses, and insurance
- Will provide accurate event information
- Will honor ticket sales as described
- Will comply with applicable laws including consumer protection, tax, health, and safety regulations
- Are solely responsible for the event itself, attendee experience, and venue conditions
- Will respond to attendee inquiries in good faith
- Have authority to issue refunds when required by law or your refund policy
5.2 Stripe Connect Onboarding
Full-tier organizers must complete Stripe Connect Express onboarding, including:
- Identity verification (KYC)
- Business or individual classification
- Bank account or debit card setup for payouts
- Selection of payout lane (Mexico MXN or United States USD)
Stripe Connect terms apply in addition to these Terms. You agree to be bound by Stripe Connect's Connected Account Agreement.
5.3 Stripe Lane Selection and Immutability
The payout lane (MX or US) you select for an event is final and cannot be changed after the first payment is processed. Refunds for that event must be processed through the same lane. This immutability is a non-negotiable platform guardrail.
5.4 Platform Fees
We charge organizers a platform fee on ticket sales. Current fee structure:
- Platform fee: 5% of ticket price
- Service fee: Stays with organizer to offset Stripe processing costs
- Minimum fee floor: 15 MXN per transaction
Fees are subject to change with notice. Current fees are displayed during event creation. Organizer payouts are net of platform fees, Stripe processing fees, and applicable taxes.
5.5 Payout Timing
Organizer payouts are subject to Stripe Connect payout schedules and platform-level controls. We may:
- Hold payouts pending dispute resolution
- Hold payouts for suspected fraud or policy violations
- Require additional verification before releasing payouts
- Withhold payouts to satisfy refund obligations or chargebacks
5.6 Recurring Events
Organizers creating recurring event series agree that:
- Each occurrence is a separate event for ticketing purposes
- Series modifications affect future occurrences per the scope you select (this/this-and-future/all)
- Refund obligations apply per occurrence, not per series
- Engagement-based auto-pausing may occur per platform policies
5.7 Organizer Tax Obligations
Organizers are solely responsible for:
- Determining tax obligations in their jurisdiction
- Collecting and remitting applicable taxes (IVA, income tax, etc.)
- Issuing required tax receipts or invoices (facturas) to attendees
- Tax reporting and compliance
The Platform is not a tax advisor and does not provide tax advice.
5.8 Light Tier Organizers (URL Import / Phone Reservation)
Events imported via URL import or phone-reservation are listed for community discovery purposes. The organizers of such events:
- Are not parties to these Terms
- Have not undergone GraciasGracias onboarding
- Are responsible for their own ticketing, refund policies, and customer service
- Sell tickets through their own channels, not through GraciasGracias
We do not earn commissions on light tier events and assume no responsibility for them.
6. Ticket Purchases (Attendees)
6.1 Ticket Sale Terms
When you purchase a ticket through the Platform:
- You enter a contract with the event organizer, not GraciasGracias
- GraciasGracias facilitates the transaction but is not the event provider
- Tickets are subject to the organizer's terms, refund policy, and event conditions
- Custom approval questions answered during purchase are visible to the organizer
6.2 Payment Processing
All payments are processed by Stripe. By purchasing tickets, you agree to Stripe's terms of service and acknowledge that:
- Your payment information is handled by Stripe, not stored by GraciasGracias
- Payment disputes should be raised with GraciasGracias support first before initiating chargebacks
- Chargebacks may result in event access being revoked
6.3 Ticket Delivery
Tickets are delivered via:
- Email confirmation with QR code
- Tickets page within your GraciasGracias account
- Future Wallet integrations (Google Wallet, Apple Wallet) as they become available
You are responsible for maintaining access to your tickets and preventing unauthorized use.
6.4 Ticket Transfer
Ticket transferability is at organizer discretion. Where transfers are permitted, the platform may facilitate the process. Resale of tickets at prices exceeding face value may violate organizer policies or applicable law.
6.5 Event Cancellation by Organizer
If an organizer cancels an event:
- The Platform will facilitate refunds to attendees as required
- Refund timing depends on Stripe processing and lane configuration
- Platform fees may or may not be refunded at our discretion
6.6 Event Changes
Organizers may change event details (date, time, venue, lineup). Material changes may entitle you to refunds under applicable consumer protection law. The Platform will facilitate communication but is not a party to such disputes.
7. Refund Policy
7.1 General Refund Framework
Refund eligibility is determined by:
- Mexican consumer protection law (LFPC) where applicable
- The event organizer's refund policy
- Platform refund policies for marketplace fees
- These Terms
7.2 Service Fees and Platform Fees
Service fees and platform fees are generally non-refundable except where required by law or as part of full event cancellation by the organizer.
7.3 Refund Processing
Refunds are processed through the original payment method via Stripe. Refund timing depends on:
- Bank processing times (typically 5-10 business days)
- Stripe lane configuration (MX or US)
- Currency conversion if applicable
7.4 Refund Lane Matching
Refunds must be processed through the same Stripe lane as the original charge. This is a non-negotiable platform constraint.
7.5 Disputed Refunds
If you disagree with an organizer's refund decision:
- Contact organizer first through the Platform
- If unresolved, contact GraciasGracias support
- We may intervene at our discretion but are not obligated to override organizer decisions
- Mexican consumer protection law (PROFECO) may provide additional recourse
7.6 Chargebacks
Initiating a chargeback without first attempting resolution through Platform support may result in account suspension. If a chargeback is found in your favor, GraciasGracias reserves the right to recover associated costs from your account or future transactions.
8. Intellectual Property
8.1 Platform IP
GraciasGracias, the GraciasGracias name, logos, brand assets, design elements, software, and all associated intellectual property are owned by GraciasGracias or our licensors. You may not use these without explicit written permission.
8.2 Limited License to Users
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial purposes consistent with these Terms.
8.3 Trademarks
GraciasGracias and related marks are trademarks. Other product and company names mentioned on the Platform may be trademarks of their respective owners.
8.4 Copyright Complaints
If you believe content on the Platform infringes your copyright, contact: support@graciasgracias.live
Include:
- Identification of the copyrighted work
- Identification of the allegedly infringing material with URL
- Your contact information
- A statement of good faith belief
- A statement under penalty of perjury that the information is accurate and you are authorized to act
We will respond to valid notices in accordance with applicable law.
8.5 Repeat Infringer Policy
Accounts of users who repeatedly infringe intellectual property rights will be terminated.
9. Privacy
Our collection and use of personal information is governed by our Privacy Policy, available at graciasgracias.live/privacy, which is incorporated into these Terms by reference. By using the Platform, you consent to data practices described in the Privacy Policy.
For users in Mexico, we comply with the Federal Law on Protection of Personal Data Held by Private Parties (LFPDPPP). For EU users, we comply with GDPR. For California users, we comply with CCPA.
10. Third-Party Services and Links
10.1 Third-Party Integrations
The Platform integrates with third-party services including:
- Stripe (payment processing)
- Supabase (database and authentication)
- Resend (email delivery)
- Vercel (hosting)
- PostHog (analytics)
- OpenAI / Anthropic (content moderation)
- Google (authentication, Wallet integration)
- Klipy (GIF integration)
- Ticketmaster and similar partners (event data)
- Leaflet / CARTO (mapping)
Each third party has its own terms and privacy practices. We do not control these services and assume no responsibility for them.
10.2 External Links
The Platform may contain links to external websites. We do not endorse or assume responsibility for external content, products, or services.
11. Prohibited Conduct
In addition to Content Guidelines (Section 4.2), you may not:
- Attempt to gain unauthorized access to the Platform, accounts, or systems
- Use automated systems (bots, scrapers) without explicit permission
- Reverse-engineer, decompile, or extract source code
- Interfere with Platform security features
- Use the Platform to send unsolicited communications
- Create multiple accounts to evade restrictions
- Use the Platform for any illegal purpose
- Circumvent fee structures or payment systems
- Sell, trade, or transfer your account
- Misrepresent your affiliation with any person or organization
- Use the Platform in a way that could damage, disable, or impair Platform functionality
12. Disclaimers and Limitations of Liability
12.1 Service "AS IS"
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GRACIASGRACIAS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
We do not warrant that:
- The Platform will be uninterrupted, timely, secure, or error-free
- Defects will be corrected
- The Platform is free of viruses or harmful components
- Content is accurate, reliable, or complete
12.2 No Warranty for User Content or Third Parties
We do not endorse User Content, organizer events, third-party services, or marketplace/rental listings. We make no warranty regarding event quality, organizer reliability, item condition, or rental accuracy.
12.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GRACIASGRACIAS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES
- LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
- DAMAGES RESULTING FROM YOUR USE OR INABILITY TO USE THE PLATFORM
- DAMAGES RESULTING FROM USER CONTENT, THIRD-PARTY CONDUCT, OR EVENTS
- DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO YOUR ACCOUNT
OUR AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO GRACIASGRACIAS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE THOUSAND MEXICAN PESOS (MXN $1,000).
Some jurisdictions do not allow the exclusion or limitation of certain damages. The above limitations apply to the maximum extent permitted by law.
12.4 Force Majeure
We are not liable for delays or failures due to causes beyond our reasonable control, including natural disasters, war, terrorism, civil unrest, pandemic, government action, power failures, internet failures, or third-party service failures.
13. Indemnification
You agree to indemnify, defend, and hold harmless GraciasGracias, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Platform
- Your User Content
- Your violation of these Terms
- Your violation of any third-party rights
- Your violation of applicable law
- If you are an organizer: your events, including injuries, refund disputes, and legal violations
- If you are a marketplace or rental user: transactions you conduct
14. Dispute Resolution
14.1 Informal Resolution
Before initiating formal proceedings, you agree to attempt to resolve disputes informally by contacting support@graciasgracias.live. We will attempt to resolve disputes within thirty (30) days.
14.2 Governing Law
These Terms are governed by the laws of the United Mexican States (Estados Unidos Mexicanos), without regard to conflict of laws principles.
14.3 Venue
Disputes shall be resolved in the courts of Mexico City (Ciudad de México), Mexico.
14.4 Consumer Protection Rights
Nothing in these Terms limits your rights under Mexican consumer protection law (LFPC) or other mandatory consumer protections in your jurisdiction. Mexican consumers may contact PROFECO (Procuraduría Federal del Consumidor) for assistance.
15. General Provisions
15.1 Entire Agreement
These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and GraciasGracias regarding the Platform.
15.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions remain in full force and effect.
15.3 No Waiver
Our failure to enforce any provision does not constitute a waiver of that provision or any other.
15.4 Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms freely.
15.5 Headings
Headings are for convenience only and do not affect interpretation.
15.6 Notices
Notices to you may be sent via email or posted on the Platform. Notices to us should be sent to support@graciasgracias.live.
15.7 Language
These Terms are provided in English and Spanish. In case of conflict between language versions, the English version controls. The Spanish translation is provided for convenience.
15.8 Survival
Provisions that by their nature should survive termination (including ownership, warranty disclaimers, indemnification, limitation of liability, and dispute resolution) shall survive termination of these Terms or your account.

17. Special Provisions for Specific Features
17.1 Friends Only Meetups
Friends Only Meetups are a privacy feature where event-associated meetups are visible only to friends of the creator. By participating:
- You acknowledge friends are creator-anchored, not transitively granted
- You agree not to share Friends Only content with non-friends
- You accept that the Platform's friend infrastructure controls visibility
17.2 Required Approval Events and Custom Questions
For events requiring approval:
- Custom questions are visible only to the event organizer and Platform administrators
- Approval decisions are at organizer sole discretion
- Approval token issuance is single-use and time-limited
- Free events use a $0 order flow upon approval
17.3 Phone Reservation Events
Events listed with phone reservation contact methods (tel:, email:, Instagram, WhatsApp):
- Are not ticketed through GraciasGracias
- Require direct contact with the organizer
- GraciasGracias assumes no responsibility for reservation outcomes
17.4 Marketplace and Rentals
Detailed terms for marketplace and rental listings:
- All listings are user-generated and not verified by GraciasGracias
- We provide no escrow, payment processing, or dispute resolution for these transactions
- Linkification of URLs in messages does not constitute endorsement
- Mexican rental terms (Fiador, Póliza Jurídica, etc.) are user-provided
17.5 Wallet Integrations
When using ticket wallet integrations (Google Wallet, future Apple Wallet):
- Your information is shared with the wallet provider per their terms
- Wallet passes are convenience features; email remains authoritative
- Pass revocation may occur on refund or event cancellation
- We are not responsible for wallet provider service availability
18. Modifications to Platform
We reserve the right to modify, suspend, or discontinue any Platform feature at any time without notice. We are not liable for any modification, suspension, or discontinuation of Platform features.
19. Beta Features
We may offer beta or experimental features. By using beta features:
- You acknowledge they may be incomplete or contain errors
- You provide feedback on a non-confidential basis
- We may modify or discontinue beta features at any time
20. Acknowledgment
BY USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE.
